Part 2. Business Transactions — Q&A with Michael (Moshe) L. Fine, Esq.
Q: How do business transactions differ from real estate transactions?
A: While both involve the transfer of valuable assets, business transactions often concern the sale of a company — either via asset transfer or share purchase — whereas real estate deals involve physical property. Business sales often involve more moving parts, including operations, goodwill, and ongoing obligations.
Q: What advice do you give to buyers and sellers of existing businesses?
A: Engage professionals early, especially for valuation and entity structuring. Clean documentation upfront can prevent issues down the line.
Q: What are the top 3 tips for drafting proper business sale documents?
- Clearly list which assets are being transferred and which assets are excluded from the transaction.
- Make sure that you have enough time to complete your due diligence and have access to what you need for that process.
- Make sure that you have adequate representations and warranties to ensure that you are getting what you are promised.
